DUE DILIGENCE

At 8:43 on a Tuesday morning, Eleanor Whitcomb, senior associate at a commercial law firm in Chicago, discovered that a company worth approximately forty-seven million dollars did not, technically speaking, own the building in which it conducted its business.

This was unfortunate, as the building was included in the sale.

The discovery was buried on page 317 of a collection of documents that had arrived the previous evening in fourteen electronic folders, three cardboard boxes, and one email described by its sender as "just a few housekeeping items." Eleanor had learned during her eleven years in corporate law that the phrase "housekeeping items" generally indicated a problem large enough to require its own conference room.

She had been reviewing the acquisition of a family-owned manufacturing company that produced industrial fasteners. The business was profitable, the employees were loyal, and the owners were retiring to Florida, where they intended to purchase a boat despite neither having expressed any previous interest in boating. Everything appeared perfectly straightforward. The financial statements balanced. The equipment was accounted for. The environmental reports were reassuring. Even the employee handbook had been updated within the last decade, a small miracle Eleanor had quietly appreciated.

And then there was the building.

According to the original property records, ownership had been transferred in 1987 to a holding company that had subsequently dissolved in 1994. The dissolution paperwork referred to an asset distribution that nobody could locate. The current owners believed the building belonged to them because their father had told them so. Their father, unfortunately, had died in 2006, taking with him both the explanation and, apparently, the original documents.

Eleanor removed her glasses, placed them beside her keyboard, and looked through the window at a city full of buildings whose owners she sincerely hoped had better paperwork.

By lunchtime, she had located two former directors, an archived corporate filing, and a retired accountant living in Wisconsin who remembered the transaction with remarkable clarity but could not remember where he had put his reading glasses. By three o'clock, the accountant had found his glasses, Eleanor had found a reference to an unrecorded deed, and the partners had begun asking whether the closing date was still realistic.

"We're working through it," Eleanor said.

This was lawyer language for something considerably more complicated than working through it.

By Thursday, the missing deed had been recovered from a storage facility outside Milwaukee. The building belonged to the sellers after all. The transaction could proceed. Forty-seven million dollars could change hands, two brothers could buy their boat, and the manufacturing company could continue making the small metal objects upon which a surprising portion of modern civilization depended.

At the closing, everyone congratulated everyone else. Photographs were taken. Someone produced champagne. One of the brothers thanked Eleanor for making the process so easy.

She smiled.

There are moments in the legal profession when the greatest compliment is that nobody has the slightest idea what you just prevented.

DUE DILIGENCE is for the attorneys, investigators, analysts, and relentlessly curious professionals who understand that the smallest detail can change everything. For the people who read the footnotes, question the assumptions, examine the attachments, and know that a document's existence is not quite the same thing as its accuracy.

An original BIENTEVEO design celebrating the fine art of looking closer. Because what you don't know can hurt you. And what you take the time to discover just might save the entire deal.
